Scope and Contents

  • 1973-03-30 letter from Josephine Patterson Albright and Joseph Albright asking that the amendments be withdrawn on the ground that they are designed "to insure continuity in management and discourage any attempts to change management ... [and] will necessarily decrease the value of Tribune Company shares which are to be distributed to the Trust beneficiaries upon termination of the Trust in 1975."
  • Three identical letters dated 1973-04-05 from Joseph Albright, Frank Waldrop, and Alice Albright Hoge Arlen as trustees under the will of Eleanor Patterson, asking the McCormick-Patterson trustees to withdraw or vote against the amendments
  • Lawsuit (with copy of McCormick-Patterson Trust) filed in Federal and Cook County courts by Kirkland & Ellis asking a declaratory judgment that the McCormick-Patterson trustees are empowered to vote all shares of the Trust's stock in favor of the amendments; filed 1973-04-06. (On the same day the Albrights sued in New York State for an injunction prohibiting the Patterson trustees in New York from voting on the amendments. This was denied on 1973-04-11 and further action stayed until settlement of the case in Illinois.)
  • Kirkland & Ellis petition for an order prohibiting any action on the amendments at the 1973-04-12 meeting, and Judge Decker's order to that effect on 1973-04-09
  • Letter of 1973-04-06 from Richard E. Metz and subsequent correspondence with him and other members of the Howells family; copies of their proxies opposing the amendments
